contrato de exclusividad de ventas

Hola a todos, les escribo ya que soy bastante novata en este tema ya que hace poco estoy recibida, y me salió una oportunidad de asesorar a una persona en la redacción de un contrato y estoy bastante perdida.
El tema es así, es una persona que va a commprar unos sistemas de audio a una empresa extranjera, y el contrato tiene q garantizar la exclusividad de venta en todo el continente. estoy perdida.. tienen algún modelo que se adapte para retocarlo?

The licensor hereby appoints the distributor, and the distributor hereby accepts appointment, as its exclusive distributor for the distribution of the Products listed in Appendix X to customers in the Territory only during the validity period of the present agreement. In the Territory, the licensor shall not sell the Products, either directly or indirectly, to anyone other than the distributor and shall transmit to the distributor all requests received concerning the Territory so that the distributor may deal directly with the businesses concerned.
